1. Legal Nature of This Document

This document constitutes a legally binding agreement between VictoryLine Financial Trading and any individual or legal entity accessing, browsing, registering, submitting information, or otherwise using the VictoryLine website, platforms, communication channels, or services.

All trading accounts, capital, execution, and custodial functions remain with third-party regulated brokers.

3. Definitions

For the purpose of these Terms:

  • “VictoryLine”, “Company”, “we”, “us”, or “our” refers to VictoryLine Financial Trading.
  • “User”, “you”, or “your” refers to any person or entity accessing or using the Platform.

5. Acceptance of Terms

By accessing or using the Platform, you confirm that you have read, understood, and accepted these Terms & Conditions in full.

If you do not agree with any part of this Agreement, you must discontinue use of the Platform immediately.

VictoryLine reserves the right to deny access to any User who does not comply with these Terms.

6. Eligibility

Users must be at least 18 years of age and legally capable of entering into binding agreements under applicable law.

VictoryLine does not knowingly provide services to minors.

VictoryLine does not control, supervise, or guarantee the actions, systems, pricing, execution quality, or services of Third-Party Brokers.

Any agreement entered into between the User and a Third-Party Broker is independent of VictoryLine.

VictoryLine bears no responsibility for losses, disputes, or service issues arising from Third-Party Brokers.

10. No Custody of Funds

VictoryLine does not receive, hold, manage, or transfer client funds.

All deposits, withdrawals, and trading capital remain directly with Third-Party Brokers.

Users acknowledge that VictoryLine has no access to trading accounts or funds.

11. Platform Access and Availability

VictoryLine does not guarantee uninterrupted availability of the Platform.

Access may be suspended temporarily for maintenance, regulatory updates, or security reasons.

VictoryLine is not liable for any loss arising from temporary unavailability.

12. Intellectual Property

All content, branding, text, logos, graphics, and materials on the Platform are the intellectual property of Victory Line Financial Trading unless otherwise stated.

Unauthorised reproduction, distribution, or modification is prohibited.

Limited personal, non-commercial viewing rights are granted to Users.

13. Confidentiality and Data Handling

14. Communications

15. Limitation of Liability

To the maximum extent permitted by law, VictoryLine shall not be liable for:

VictoryLine’s liability, if any, shall be limited strictly to the scope permitted under applicable UAE law.

16. User Conduct and Platform Integrity

Users agree to use the Platform in a lawful, respectful, and compliant manner. Any action that compromises the integrity, security, or lawful operation of the Platform is strictly prohibited.

Users must not:

  • Attempt to obtain personalised trading, investment, or portfolio advice
  • Misrepresent their identity, financial status, or intentions
  • Upload or transmit false, misleading, or unlawful information
  • Attempt to reverse engineer, interfere with, or disrupt Platform systems
  • Use the Platform for fraudulent, abusive, or unauthorised purposes

VictoryLine reserves the right to investigate any suspected breach and take appropriate action without prior notice.

17. Prohibited Use

The Platform must not be used for:

  • Solicitation of investments
  • Promotion of unregulated financial products
  • Distribution of misleading financial claims
  • Circumvention of regulatory safeguards
  • Misuse of VictoryLine’s brand, licensing, or regulatory references

Any use that could expose VictoryLine to regulatory, reputational, or legal risk is considered a material breach of these Terms.

18. Educational Content and Market Information

Any educational materials, market explanations, or technical information provided through the Platform are for general understanding only.

Such content:

  • Does not account for individual financial circumstances
  • Does not constitute recommendations
  • Does not predict market outcomes
  • Should not be relied upon for decision-making

Users acknowledge that financial markets involve risk and that VictoryLine does not influence trading outcomes.

19. No Performance Representation

VictoryLine makes no representation regarding:

  • Trading success
  • Profitability
  • Risk reduction
  • Market accuracy
  • Broker performance

Past market behaviour does not indicate future outcomes. Users accept full responsibility for their trading actions undertaken through Third-Party Brokers.

20. Indemnification

Users agree to indemnify and hold harmless VictoryLine Financial Trading, its directors, officers, employees, representatives, and affiliates from and against any claims, losses, damages, liabilities, costs, and expenses arising from:

  • Breach of these Terms
  • Misuse of the Platform
  • Violation of applicable laws or regulations
  • Disputes with Third-Party Brokers
  • Reliance on information outside VictoryLine’s service scope

This indemnity survives termination of access.

21. Third-Party Links and Services

The Platform may contain links to external websites or services operated by third parties.

VictoryLine does not control, endorse, or assume responsibility for:

  • Content accuracy
  • Data handling practices
  • Service quality
  • Regulatory compliance

Accessing third-party services is at the User’s sole discretion and risk.

22. Intellectual Property Infringement

Users must not infringe upon the intellectual property rights of VictoryLine or any third party.

VictoryLine reserves the right to remove content, restrict access, or initiate legal proceedings in cases of infringement.

Unauthorised use of VictoryLine’s name, logo, or regulatory references is prohibited.

23. Suspension and Termination

VictoryLine may suspend or terminate User access without notice if:

  • These Terms are breached

  • Platform integrity is compromised
  • Required by law or regulatory authority

Termination does not affect accrued rights or obligations

24. Disclaimer of Warranties

The Platform and Services are provided on an “as is” and “as available” basis.

VictoryLine disclaims all warranties, whether express or implied, including but not limited to accuracy, availability, suitability, or fitness for a particular purpose.

Users accept the Platform with all inherent limitations.

25. Limitation of Liability

To the maximum extent permitted under UAE law, VictoryLine shall not be liable for:

  • Indirect or consequential losses
  • Loss of profits or opportunity
  • Market-related losses
  • Technical failures beyond reasonable control

Any liability, where established, shall be limited to the minimum extent permitted by law.

26. Regulatory Compliance Statement

VictoryLine operates under the oversight of the UAE Securities and Commodities Authority under License No. 20200000252.

Nothing in these Terms extends or alters the regulatory scope under which VictoryLine is authorised.

Users acknowledge VictoryLine’s role as a financial consultation and introduction company only.

27. Amendments to Terms

VictoryLine reserves the right to modify these Terms at any time.

Updated Terms will be published on the Platform. Continued use constitutes acceptance of the revised Terms.

Users are responsible for reviewing updates periodically.

28. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates.

Any interpretation shall align with applicable UAE financial regulations.

29. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the Services, the parties shall first attempt to resolve the matter through good-faith discussions.

If the dispute is not resolved within a reasonable period, the matter shall be referred to arbitration in accordance with the applicable arbitration laws of the United Arab Emirates. The arbitration shall be conducted by a single arbitrator appointed in accordance with such laws. The seat of arbitration shall be within the UAE, and the proceedings shall be conducted in the English language.

The arbitral award shall be final and binding on the parties, and judgment upon the award may be entered in any court of competent jurisdiction.

30. Jurisdiction

Subject to the arbitration clause above, the courts of the United Arab Emirates shall have exclusive jurisdiction over any matters arising from or related to these Terms, the Platform, or the Services, to the extent permitted by law.

Nothing in this clause limits VictoryLine’s right to seek injunctive or equitable relief in any jurisdiction where such relief is required to protect its rights or comply with regulatory obligations.

31. Force Majeure

VictoryLine shall not be liable for any failure or delay in performance of its obligations where such failure or delay results from events beyond reasonable control, including but not limited to acts of God, governmental actions, regulatory changes, market suspensions, system outages, telecommunications failures, cyber incidents, or natural disasters.

During such events, VictoryLine’s obligations shall be suspended for the duration of the force majeure event.

32. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be deemed severed from these Terms. The remaining provisions shall remain in full force and effect.

The invalid provision shall be replaced with a valid provision that most closely reflects the original intent, to the extent permitted by law.

33. No Waiver

Failure or delay by VictoryLine in enforcing any provision of these Terms shall not constitute a waiver of its right to enforce such provision at any later time.

Any waiver must be in writing and expressly stated to be effective.

34. Assignment

Users may not assign, transfer, or delegate any rights or obligations under these Terms without prior written consent from VictoryLine.

VictoryLine may assign or transfer its rights and obligations under these Terms without restriction, including in connection with corporate restructuring or regulatory requirements.

35. Entire Agreement

These Terms & Conditions, together with the Privacy Policy and any additional policies published on the Platform, constitute the entire agreement between the User and VictoryLine Financial Trading concerning access to and use of the Platform and Services.

These Terms supersede all prior understandings, communications, or agreements, whether written or oral, relating to the subject matter herein.

36. Relationship of Parties

Nothing in these Terms shall be construed as creating a partnership, agency, joint venture, fiduciary, or employment relationship between VictoryLine and any User.

Users act independently and bear sole responsibility for their decisions and actions.

37. No Third-Party Rights

These Terms are intended solely for the benefit of VictoryLine and the User. No third party shall have any rights to enforce any provision of these Terms.

38. Regulatory Acknowledgement

Users acknowledge that VictoryLine Financial Trading operates as a licensed Broker introduction company under the oversight of the UAE Securities and Commodities Authority, License No. 20200000252.

Users further acknowledge that VictoryLine does not act as a broker, does not execute trades, does not manage funds, and does not provide investment advice.

39. Updates and Continued Use

VictoryLine may revise these Terms periodically to reflect regulatory updates, operational changes, or legal requirements.

Continued use of the Platform following publication of updated Terms constitutes acceptance of such updates.
